(d) The Board of Directors (the Board) of Heidrick & Struggles International, Inc. (HSII) has appointed Stacey Rauch as an independent member of HSIIs Board, effective February 1, 2019. Ms. Rauch will stand for election at HSIIs 2019 annual meeting. Ms. Rauch will serve on the Audit and Finance Committee. Ms. Rauch will receive compensation and benefits from HSII for service on the Board on the same terms as other non-employee directors as described in HSIIs Definitive Proxy Statement on Schedule 14A, which was filed with the Securities and Exchange Commission on April 24, 2018. There is no arrangement or understanding between Ms. Rauch and any other person pursuant to which she was appointed as a director of HSII.
Ms. Rauch, 60, is a Director (Senior Partner) Emeritus of McKinsey & Company where she served clients in the United States and internationally for 24 years. She co-founded the New Jersey office and was the first woman to be appointed as an industry practice leader. Ms. Rauch was a leader in the firms Retail and Consumer Goods Practices, served as the head of the North American Retail and Apparel Practice and acted as the Global Retail Practice Convener. She retired from McKinsey & Company in September 2010 and has since then pursued a portfolio career.
Ms. Rauch is Chairman of the Board of Fiesta Restaurant Group Inc. and serves on the board of Ascena Retail Group Inc, (both NASDAQ listed companies). Ms. Rauch is also a non-executive director of Land Securities Group PLC (a FTSE company). She previously served as a director of CEB Inc. (a NYSE listed member-based advisory company), ANN Inc (a NSYE listed womens speciality apparel retailer) and Tops Holding Corporation.

Heidrick & Struggles Appoints Stacey Rauch to Board of Directors
CHICAGO, January 29, 2019 Heidrick & Struggles (Nasdaq: HSII), a premier provider of executive search, leadership assessment and development, organization and team effectiveness, and culture shaping services globally, today announced Stacey Rauch has been appointed to its Board of Directors as an independent director and will serve on its Audit and Finance Committee, effective February 1, 2019.

She retired from McKinsey & Company in September 2010 and has since pursued a portfolio career.
